That's right! I'm selling 200 shares in my company, BioSpherical. That's 20% of the company.
Why?
To raise some capital so it can be taken to the next level.

How much?
Currently $2.80 per share.
I'm also selling a maximum of 40 shares for 125NP$ each.

You can buy as few or as many shares as you like.

So what is one share worth?
Well, there are 1000 shares overall in the company. I'm selling 200 of them, which is 20% of the company. Each share is worth 0.1% of the company - this may not sound like a lot but it could easily earn you back the price of your investment.

And what does each share do?
Each share will entitle the holder to a percentage of the company's profits. One share is worth 0.1% of the company, so is worth 0.1% of the profits.
Look at it this way: For every $1000 the company makes, each share earns $1.

But would my investment be worth it, or will it be a waste of money?
Definitely the former. The current share price values the company at $2800, but if I had valued the company on first quarter profits, it'd be worth over $3200.

How can I be sure this is genuine?
Well, BioSpherical is a division of a holding company, B&S Associates Ltd. The holding company is a limited company incorporated in the UK, and as such we have to adhere to certain regulations. You can be assured we will not run off with your money or anything like that!

More about the company
BioSpherical.net was setup in December of last year. Since its launch its made over $800. This may not sound like a lot, but of the 3 months the company has been active we've only traded for 2 months. We have done very little advertising so far, that will come.

What does the BioSpherical do?
As you'll see from our website (www.biospherical.net), we sell a script called CountryOnSale. Its an entirely unique, custom made script which we own exclusive rights to. Not only that, but a second script is currently under development, which promises to be as good, if not better, than CountryOnSale.

- You will be paid your share of the company's profits every quarter (every 3 months).

the bit in red confuses me,

So if your shares go to a value of $20.00 each the maximum i can expect is $2.80 and 10% so i would buy share/s at $2.80 and they went to $20.00 i woulg get $4.80 ?

Thats how i see it the way it's bee written,

Yeah wasn't sure how to put that. When I wrote it I meant you'd get back the price you bought the share at plus 10% if that figure. But I realised that was not fair as then I could buy the shares back for a fraction of what they were worth if the price increased a lot.

Here is the updated term:
- We, BioSpherical, reserve the right to buy back your share(s) at any time, for the current share price plus 10% of that figure.
Example: The share price is $10. We have the ability to buy your share(s) off you at $11 a share. (If you owned 10 shares, you'd get $110 and so on).

This doesn't make sense to me, but maybe it is because you are in the UK. In the US a corporation has shares, but a division of a corporation would not.

What is the legal status of this division and does a "share" actually entitle you to a portion of ownership of this division? Is Biospherical also incorporated?

Tom - You are correct in saying that a division of a corporation does not have shares. The shares I'm offering are not official stock market shares, but more a way of selling a percentage of the company. Each share entitles the owner to a portion of ownership in the division (0.1% per share).

Regarding the status of BioSpherical, it is not incorporated, but any investors have my word that they will receive dividends each quarter and will be able to sell on their 'shares.' If enough people invest, I will create a site for shareholders so they can view the current share price and how the company is doing etc.
