1.I'm running a vps and I would like to hear some opinions about some scripts that help you to manage your server. Are there any scripts you would highly recommend?

2.I frequently have downtime; I'm monitoring all services so it will automatically restart the service that is down after at least 15 minutes but it is still annoying.
Maybe someone is spamming my server with requests, I dunno. It's once every 24h after a restart (apache) everything is fine. Can't find anything in access_logs

3. And last I would like to hear some opinions about php values.. any DO's and DONT's?

If you could drop me some links that would be great.

You should have a look at your system logs.
Check for messages in /var/log

You will need an expert sysadmin to have a detailed look into your server. He may be able to find out what is causing the issue.
It doesn't look good to have services stopped at times. It can be a lack of memory or cpu or some high usage spikes or something like that.
I guess a sysadmin will be able to find out something.

ok did that.. checked chkservd.log

3 errors that are causing the problems probably:

[Mon Dec 31 06:07:31 2007] [warn] NameVirtualHost xxxxxxxxxx:80 has no VirtualHosts --- huh ?

open3: exec of df -P failed at /usr/local/cpanel/Cpanel/SafeRun.pm line 158

open3: fork failed: Cannot allocate memory at /usr/local/cpanel/Cpanel/SafeRun.pm line 158

The Virtualhosts warning can safely be ignored. From looking at the other two, seems you might be having some resource usage issues. Make sure that your httpd.conf is optimized.
