im trying to upload some images to my ftp and i need to convert them from .jpeg to .gif but no matter what i do (online or off) it always seems to loose quality! can anyone help me with a solution?

Why do you need to convert them?

GIF only allows 256 colors, while JPG allows up to 16 millions. This is the probable reason for your loss of quality.

If you use Photoshop Elements, use the "convert for Web" tool and select the optimised palette. Should help with image quality.
Can you use PNG instead of GIF?

well i have downloaded a template for a forum (iwebplus) and i want to replace an image however it is .gif at the end... would it matter about the file type? Because i don't think i know enough let a lone have the paitence to go around the entire template code changing the .gif to .png or .jpeg

Well, I think most modern browser would recognise the actual file format (independent of the file extension) but I wouldnt really recommend this way.

If you havent tried it yet, I would see whether I can optimise the image down to 256 colors. If it doesnt work you should either really change the template code, alternatively you could also work with a HTTP redirect (redirect all GIF requests to the JPEG version). Although this would be unnecessarily resource intensive it could solve your problem.

Some mainstream browsers don't like to see a .JPG image when the file type says .GIF. Better to correct it either in the picture file itself or the template.
