What are downsides that immediately come to mind by incorporating an alternative investment fund whereby general partners not only pool their capital, but they pool the ownership of domains & offer LPs a chance to invest in the total sum of those domains. I have come across two funds doing this but one I think wrapped up now.

Strongly advise you to consult an attorney in order to avoid any issues. This could very well be based on jurisdiction, and the second you call something "investment fund" or act like an investment fund; you start crossing into the domain of the SEC and other securities regulators.
