DOMAIN NAME ASSIGNMENT AGREEMENT
THIS DOMAIN NAME ASSIGNMENT AGREEMENT is made this 4th day of June, 2006 (the “Effective Date”), by and between AttyDomains.Com (“ADC”), and Jack Johnson, an individual with an address at 123 Fake Street, Altoona WI, 54702; email: [email protected] (“Johnson”) (collectively, the “Parties”).
WHEREAS, ADC is the legal owner of the World Wide Web domain name http://www.LawyerJack.Com (the “Domain Name”, a copy of the WHOIS record for the Domain Name is attached hereto as Exhibit A, and wishes to sell, transfer and assign the Domain Name to Johnson; and
WHEREAS, Johnson is desirous of acquiring the Domain Name and all rights related, thereto.
NOW, THEREFORE, for and in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties hereby agree as follows:
1. Transfer and Assignment. For the amount of two thousand five hundred United States dollars ($2,500.00), ADC hereby sells, assigns, transfers and sets over absolutely to Johnson, its successors, and assigns, all right, title and interest in and to the Domain Name and any and all renewals and/or extensions of the registration, together with all goodwill symbolized and associated with the Domain Name, including any trademarks, copyrights or any other intellectual property or proprietary rights based on or related to the Domain Name, free from any notice or claim asserted or threatened by any third party due to the infringement of any intellectual property or other right of any third party.
2. Compensation. Upon execution of this Agreement by ADC, Johnson’s legal representatives shall promptly remit a check in the amount of $2,500.00 to ADC using the following contact information:
