I agree its huge! So what is the way to make these offerings NOT a security?

For informational purposes:

"In the United States, a security is a tradable financial asset of any kind. Securities are broadly categorized into: debt securities (e.g., banknotes, bonds and debentures) equity securities (e.g., common stocks) derivatives (e.g., forwards, futures, options, and swaps)."

As it stands right now, I don't see how this project is anything but a security. Please advise.

To further add, the Howey test is often applied to determine if something is a security.

Under the Howey Test, a transaction is an investment contract if:
  1. It is an investment of money
  2. There is an expectation of profits from the investment
  3. The investment of money is in a common enterprise
  4. Any profit comes from the efforts of a promoter or third party
I believe this project checks the boxes as a security based on the Howey test. I look forward to hearing views that may differ.

Good thoughts.
We are working on the platform now and I will have our lawyers spell out
the terms, clearly, of what we are offering.

For now, I'd like to see who is interested in learning more when the time comes (via the email form linked).
We'll get everything settled on our end and then get everyone up to speed when the time comes.

What if the name gets hit with a udrp, and taken away, what happens to investment, am I obligated to pay for legal fees based on ownership.

It’s a great idea, for domain holders to raise working capital from dormant domains.

It’s a great idea, for domain holders to raise working capital from dormant domains.

We will have that worked out. As of now, I am paying legal fees from UDRP and I refund buyers if a name is taken/stolen/expires etc.

That seems like it’s valued on the low end but today’s market for LLL is down. I’d be interested to invest in a higher caliber domain like LL or NNN, for example.

How are potential buyers handled? Do all shareholders have a say in sales or is it on a majority basis?

This is the definition of tokenizing assets, and the future, I believe. It could be domains, homes, art, or anything that holds true value.

Yes, it is a form of tokenizing assets, however it's not done on a blockchain which is what "tokenizing" is.

Ironically, the largest hurdle that "tokenizing" has encountered is the fact that it must be registered as a security. Somehow, this project seems to be able to do what many have been unable to do. It would be nice if there was more clarity as to how this investment is not a security. Currently, all indications are it is a security.

The info regarding a security is valid. It's not private legal information. If you solicit investors you should be able to easily explain the legalities of the investment. I look forward to your disclosures.

Tokenizing is more of an investment idea or approach, not necessarily the form of payment used to invest.

This is an example of selling shares of something with value. Whether you invest with cash, crypto, or a loan is irrelevant imo.

Sounds good to me...the only fair way to do it.

How much commission does the marketplace make on a sale? (I assume profit will be deferred until a sale is made rather than charge a 'buyers' fee)

Upfront, before any offer come, shareholders must agree/vote for how much will be sold ... absolute minimum price. Otherwise, you’ll face something like .. inside man f.e. how much would you sell your right to vote for X offer/s.
