i have a buyer for one of my domain names.

i am unable to divulge details as to who the company is or the name for that matter, however it appears we will be settling on a fixed cash amount PLUS company equity. They are young with a very big, ambitious business plan. it is an international business model that has a lot of moving parts, in return, a lot of ways to fail.. i am willing to gamble.

They have secured funding and have offered the following equity along with the cash:

XXXX buys the XXXX.com domain for $X,000 cash and $50,000 in equity at a $50,000,000 post-money valuation of XXXX (i.e., 0.1% of company).

my main question...
in a deal like this, how does the contract get structured (or is there a contract?)... such as who holds the rights to the domain name?
am i just given the stocks as payment and initiate transfer? is there more to this that i should know or be aware of?

also of note - this is a very respected individual in his profession. one who speaks for TED Talks and has built a previous multi-million dollar company in the past venturing into a new startup.
i could use all the advice i can get here on this topic.

You both hold rights in accordance with the terms of the contract.

You should use Escrow.com Domain Name Holding to protect you and the buyer. They'll help both sides with the contract, too.

@Michael Cyger I believe did cash + investment share in the Brew (com) purchase but I don't know any details, presuming they would not be disclosed. As a model I think it makes sense as it diversifies in a way your revenue stream from simply direct domain investment returns, and also is a demonstration to the company that you believe in the domain name. It definitely is something you need legal/contract advice to make sure you are covered against all eventualities, or to the degree possible.
